This Agreement dated September 19, 2011, is made between MTS Systems Corporation (“MTS” or “Company”) and the United States Department of the Air Force (“USAF”). The purpose of this Agreement is to record the actions MTS has taken and has committed to take to satisfy the USAF that it can be trusted to receive Federal Government contracts and subcontracts and the benefits of Federal assistance programs, and the USAF’s agreement to terminate the March 11, 2011, suspension of MTS based upon the terms herein, including the removal of its name from the Excluded Parties List System (“EPLS”).
