This Second Amended and Restated Agreement of Limited Partnership of Endeavor Emerging Opportunities Fund, LP (the “Partnership”) made effective as of October 1, 2013 (the “Partnership Agreement”) by and between Bridgeton Fund Management LLC, a Delaware limited liability company (the “General Partner”) and the other parties who shall execute or otherwise be bound to this Partnership Agreement as a limited partner, whether in counterpart, by execution of a subscription agreement or other instrument, or otherwise, as limited partners (individually, “Limited Partner” or collectively, “Limited Partners”). (The General Partners and Limited Partner may be collectively referred to herein as Partners”.)
