This THIRD AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of April 5, 2016 (the “Effective Date”) is by and among (a) SILICON VALLEY BANK, a California corporation (“Bank”), and (b) (i) GIGOPTIX, INC., a Delaware corporation (“GigOptix”), CHIPX, INCORPORATED, a Delaware corporation (“ChipX”), ENDWAVE CORPORATION, a Delaware corporation (“Endwave”) and MAGNUM SEMICONDUCTOR, INC., a Delaware corporation (“Magnum”) (GigOptix, ChipX, Endwave and Magnum are individually and collectively, jointly and severally, “Borrower”), and provides the terms on which Bank shall lend to Borrower, and Borrower shall repay Bank.
