This TAX MATTERS AGREEMENT (this "Agreement") is entered into as of October 31, 2018, by and among Trinity Industries, Inc. ("Trinity"), a Delaware corporation, and Arcosa, Inc. ("Arcosa"), a Delaware corporation and a wholly owned subsidiary of Trinity.
