This AMENDMENT TO EMPLOYMENT AGREEMENT (this “Amendment”) is made as of this 14th day of November 2018 (the “Effective Date”), by and between Douglas J. Swirsky (the “Executive”) and Rexahn Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and amends the EMPLOYMENT AGREEMENT dated January 2, 2018 (the “Employment Agreement”), by and between the Executive and the Company.

This Separation, Transition and General Release Agreement is entered between Rexahn Pharmaceuticals, Inc. (the “Company”) and Peter Suzdak, Ph.D. (“Executive”) this 14th day of November 2018 and shall be effective as of the Effective Date (as set forth in Section 7).
