This letter will confirm our agreement (the “Agreement”) to amend and replace the terms of your employment as previously provided in your letter agreement dated May 26, 2015 (the “2015 Agreement”) with respect to your employment as Executive Vice Chairman of AMERI AND PARTNERS INC (the “Company”), a subsidiary of AMERI HOLDINGS, INC. (“Ameri”), having its principal place of business at 5000 Research Court, Suite 750, Suwanee, Georgia 30024. This letter will become effective as of the date it is fully executed (the “Effective Date”), which date shall be December 11, 2018. This agreement supersedes any prior written and verbal commitments or agreements regarding the subject matter herein.
