This Memorandum of Understanding sets forth the binding agreement between Occidental Petroleum Corporation, a Delaware corporation (“Seller”), and Total S.A., a French société anonyme (“Purchaser” and, together with Seller, the “Parties”), regarding the acquisition by Purchaser of all of the assets, liabilities, businesses and operations of Anadarko Petroleum Corporation (“APC”) in Algeria, Ghana, Mozambique, and South Africa (collectively, the “Acquired Business”, and such acquisition, the “Transaction”), all as more specifically described below.
