Chembio Diagnostics, Inc., a Nevada corporation (the “Company”), proposes to issue and sell to the several Underwriters named in Schedule I hereto (the “Underwriters”), for whom Robert W. Baird & Co. Incorporated is acting as representative (the “Representative”), subject to the terms and conditions set forth herein, an aggregate of 2,338,468 shares (the “Firm Shares”) of the Company’s common stock, par value $0.01 per share (the “Common Stock”).
