This OPERATING AGREEMENT (the “Agreement”) of DLP POSITIVE NOTE FUND LLC (the “Company”) is entered into and effective as of January 16, 2020 (the “Effective Date”) by and between the undersigned as members of the Company (the “Members”, and each individually, a “Member”) and each other person who after the date hereof becomes a Member of the Company and becomes a party to this Agreement by executing a joinder agreement.

This Subscription Agreement (the “Agreement” or the “Subscription Agreement”) is between DLP Positive Note Fund LLC, a Delaware limited liability company (the “Fund”), and the undersigned (referred to herein as “you,” except that in the case of a subscription for the account of one or more trusts or other entities, “you” will refer to the trustee, fiduciary or representative making the investment decision and executing this Agreement, of the trust or other entity, or both, as appropriate).
