Your retention award is comprised of a cash retention bonus (the “Cash Retention Bonus”) and an award of restricted stock units (the “Retention RSU Award”) under our 2005 Stock and Incentive Plan (the “Plan”). The terms and conditions of your Cash Retention Bonus and your Retention RSU Award are specified below.
