This Amended and Restated Employment Agreement (“Agreement”) is made and entered into by and between Charah, LLC, a Kentucky limited liability company (the “Company”), and Roger Shannon (“Employee”) effective as of July 22, 2022 (the “Effective Date”) and amends and restates that certain Employment Agreement between Employee and the Company originally dated June 17, 2019 (the “Prior Agreement)”. Charah Solutions, Inc., a Delaware corporation and parent of the Company (the “Parent”), enters into this Agreement for the limited purposes of acknowledging and agreeing to Section 3(c).
