This agreement (the “Agreement”) is made and entered into as of July 31, 2022 (the “Effective Date”) by and among Catalyst Biosciences, Inc., a Delaware corporation (the “Company”), and each of the parties listed on Exhibit A hereto (each, an “Investor” and collectively, the “Investors” or, with their respective Affiliates and Representatives, the “Investor Group”). The Company and each of the Investors are each herein referred to as a “party” and collectively, the “parties.”)
