This Option Agreement (“Agreement”) is made and entered into as of October 8, 2022 (the “Effective Date”), by and between Exacis Biotherapeutics, Inc., a corporation organized and existing under the laws of Delaware (“Rights Holder”), and Brooklyn ImmunoTherapeutics, Inc.
