This TERM LOAN CREDIT AGREEMENT (this “Agreement”) is entered into as of March 22, 2021, among NN, Inc., a Delaware corporation (the “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and each individually, a “Lender”), and OAKTREE FUND ADMINISTRATION, LLC, as Administrative Agent (the “Administrative Agent”).

Reference is made to (i) that certain Term Loan Credit Agreement, dated as of March 22, 2021 and amended by that certain Amendment No. 1, dated as of March 3, 2022 (and as further amended, restated, amended and restated, supplemented or otherwise modified from time to time prior to the date hereof, the “Credit Agreement”, and after giving effect to the Amendment, the “Amended Credit Agreement”), among NN, Inc. (the “Company”), the lenders party thereto from time to time (the “Lenders”), and Oaktree Fund Administration, as administrative agent and collateral agent (the “Administrative Agent”), and (ii) Amendment No. 2. To Term Loan Credit Agreement, entered into on the date hereof (the “Amendment”), among the Company, the Lenders and the Administrative Agent. Capitalized terms used but not defined in this letter agreement (this “Letter Agreement”) have the meanings assigned to them in the Amended Credit Agreement.
