This contribution and conveyance agreement (this "Agreement") is entered into as of July 5, 2022 by and between Seanergy Maritime Holdings Corp., a Marshall Islands corporation ("Seanergy") and United Maritime Corporation, a Marshall Islands corporation ("United Maritime"). In the event of a conflict between the Fee Schedule and the provisions of an applicable Appendix of Part III, the provisions of the Fee Schedule shall prevail.
