THIS ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of April 26, 2023, is entered into by and among Eterna Therapeutics Inc., a Delaware corporation (“Buyer”), Exacis Biotherapeutics Inc., a Delaware corporation (“Seller”), the stockholders named on signature pages hereto (together, the “Stockholders” and each individually, a “Stockholder”), and, solely for purposes of Section 6.01, Factor Bioscience Limited, a company organized and existing under the laws of Ireland (“Factor”).
