CONTINGENT VALUE RIGHTS AGREEMENT, dated as of August 31, 2023 (this “Agreement”), by and among Pardes Biosciences, Inc., a Delaware corporation (the “Company”), Continental Stock Transfer & Trust Company, Inc., a Delaware corporation, as the Rights Agent (the “Rights Agent”) and Fortis Advisors LLC, a Delaware limited liability company, solely in its capacity as the initial representative, agent and attorney in-fact of the Holders (the “Representative”).
