THIS FIFTH AMENDED AND RESTATED DECLARATION OF TRUST AND TRUST AGREEMENT (the “Agreement”) of the Campbell Fund Trust (the “Trust”) is made and entered into this 21st day of July, 2023, amending and restating in its entirety the Fourth Amended and Restated Declaration of Trust, dated as of June 1, 2020, Amended and Restated Declaration of Trust, dated as of February 3, 2010, by and among U.S. Bank Trust National Association, a national banking association, as trustee (the “Trustee”), Campbell & Company, LP, successor in interest to Campbell and Company, Inc., a Delaware limited partnership (as “Managing Operator”) and each other party who shall execute a counterpart of this Amended and Restated Declaration of Trust as an owner of a Unit (“Unit”) of beneficial interest of the Trust (individually, a “Unitholder” and, collectively, the “Unitholders”).
