This Retirement and Consulting Agreement (this “Agreement”) is entered into by and between Great Plains Energy Incorporated, Kansas City Power & Light Company (“KCP&L”) and KCP&L Greater Missouri Operations Company (“GMO”) (collectively, the “Company”), and John R. Marshall (the “Executive”) as of _________, 2010 (the “Effective Date”). Each of the Company and the Executive is a “Party”, and collectively they are the “Parties”.
