WHEREAS between the parties a purchase agreement (the "Purchase Agreement") was signed on August 18, 2003; and WHEREAS according to item 10.2(1) of the Purchase Agreement the Purchase Agreement has terminated; and WHEREAS the parties wish to renew the Purchase Agreement subject to the changes herein;
