This Amendment No. 1 to the Agreement and Plan of Merger is made and entered into as of September 30, 2004 by and among Mobilepro Corp., a Delaware corporation (“Buyer”), MVCC Acquisition Corp., a Delaware corporation and a direct wholly owned subsidiary of Buyer (“Buyer Sub”) and CloseCall America, Inc., a Maryland corporation (the “ Company”).
