THIS SHAREHOLDERS' SUPPORT AGREEMENT (this "Agreement"), is entered into as of October 29, 2004, by and between Isle of Capri Casinos, Inc., a Delaware corporation ("Isle"), and Roland M. Howell and Dorothy Howell (collectively, the "Holders").

THIS PLEDGE AGREEMENT (this "Agreement"), dated October 29, 2004, is among ISLE OF CAPRI CASINOS, INC., a Delaware corporation (the "Lender"), FLORIDA GAMING CORPORATION, a Delaware corporation (the "Pledgor"), and, solely with respect to the guaranty of the Lenders obligations under this Agreement and the Note (defined below), FLORIDA GAMING CENTERS, INC., a Delaware corporation and wholly-owned subsidiary of the Pledgor.

THIS SHAREHOLDERS' SUPPORT AGREEMENT AND RELEASE OF LIENS (this "Agreement"), is entered into as of October 29, 2004, by and among Isle of Capri Casinos, Inc., a Delaware corporation ("Isle"), and Freedom Financial Corporation, an Indiana corporation ("Freedom Financial"), Freedom Holding, Inc., a Delaware corporation ("Freedom Holding "), Collett Capital Corporation, a Delaware corporation ("Collett Capital"), and W. Bennett Collett ("Collett," and collectively with Freedom Financial, Freedom Holding and Collett Capital, the "Holders"), and solely for purposes of Sections 1 and 2 of this Agreement, Florida Gaming Corporation, a Delaware corporation ("FGC"), and Florida Gaming Centers, Inc., a Delaware corporation and wholly-owned subsidiary of FGC (the "Subsidiary").
