THIS PURCHASE AGREEMENT (this “Agreement”) is made as of the 20th day of January, 2005, by and between Napster, Inc., a corporation organized under the laws of the State of Delaware (the “Company”), with its principal offices at 9044 Melrose Avenue, Los Angeles, California 90069, and the purchaser whose name and address is set forth on the signature page hereof (the “Purchaser”).
