RECITAL. Borrower is the former subsidiary of Maxmillian Partners, LLC, ("Maxmillian"), the original borrower of Lender under a certain Secured Convertible Note and Agreement and a related Security Agreement dated April 8, 2003 (the "Original Debt"), the obligations pursuant to which were guarantied by Borrower in accordance with a certain Guaranty, also dated April 8, 2003.
