This Exclusive Distribution Agreement (“Agreement”) is made as of April 1, 2002 (the “Effective Date”), between Alliance Pharmaceutical Corp., a New York corporation, having its principal place of business at 3040 Science Park Road, San Diego, California 92121 (“Client”), and CORD Logistics, Inc., an Ohio corporation, having its principal place of business at 15 Ingram Boulevard, LaVergne, Tennessee 37086 (“CORD”).

THIS AMENDED AND RESTATED SUPPLY AGREEMENT (“Agreement”) dated as of October 8, 2003, is by and between Genzyme Corporation, with principal offices located at One Kendall Square, Cambridge, Massachusetts 02139 ("Vendor") and Photogen Technologies, Inc., through its IMCOR Pharmaceutical Division, a Nevada corporation with its principal offices located at 6175 Lusk Boulevard, San Diego, California 92121 ("IMCOR").

Your new title, effective as of January 20, 2005, will be Chief Operating Officer. Your initial salary for this position will be $231,000 per year (less applicable withholding and deductions). Payments will be made on a bi-weekly basis in accordance with Company policy. Merit increases and bonuses, if any, will be at the sole discretion of Board of Directors. The Company will reimburse you for approved travel and related expenses, subject to proper documentation.
