This Amended and Restated Security Agreement (the “Security Agreement”), dated as of March 16, 2005, is by and among Solomon Technologies, Inc., a Delaware corporation (the “Debtor”), Woodlaken, LLC, a Connecticut limited liability company (“Woodlaken”), Jezebel Management Corporation, a Florida corporation (“Jezebel”) and the other investors listed on Schedule A hereto (each of Woodlaken, Jezebel and such other investors being referred to herein individually as a “Secured Party” and collectively as the “Secured Parties”).
