This first amended and restated agreement is entered into as of the 19th day of February 2005 at Chicago, Illinois, USA by and between Integrated PHARMACEUTICALS, INC (hereinafter referred to as “Integrated”) or its representative, an Idaho corporation located at 310 Authority Drive, Fitchburg, Massachusetts 01420 and Fragchem CORPORATION (hereinafter referred to as “Fragchem”), an Illinois corporation with its Registered Office situated at 8809 W. Golf Road #12A, Niles, Illinois 60714.

On behalf of NEC Partnership, the Licensor under the above-referenced License, we hereby agree to modify section 5.4 of the License as follows:
