This Manufacturing Agreement (the “Agreement”) is made this 12th day of July, 2005, by and between CMC REFRIGERATION, INC., an Illinois corporation and wholly-owned subsidiary of Courtesy Manufacturing, Inc., an Illinois corporation (“Manufacturer”), and ULTRA PURE TECHNOLOGIES, INC., a Florida corporation (“Company”).
