This License Agreement (“Agreement”), is effective as of September 23, 2005 (the “Effective Date”), and is entered into by and between Pixiem, Inc. (“Pixiem”), a Delaware corporation with a principal place of business at 115 River Road, Suite 828, Edgewater, New Jersey 07020 and ESPN Enterprises, Inc. (“ESPN”) a Delaware corporation with a principal place of business at 605 Third Avenue, New York, New York 10158. ESPN and Pixiem are each a “Party” and collectively the “Parties.”
