THIS VOTING AGREEMENT (the “Agreement”) is made and entered into effective as of this ____ day of October 2005, by and among Cadence Resources Corporation, a Utah corporation (the “Company”), and each of the shareholders of the Company that is named on and signing a signature page hereto, together with any transferees who become subject to the provisions of this Agreement pursuant to Section 4.1 (collectively, the “Stockholders”).
