THIS PURCHASE AGREEMENT (this “Agreement”) dated as of April 24, 2006, is entered into among Foster Wheeler Ltd., a Bermuda company (“Company”), and the securityholders named on Schedule I hereto (collectively, the “Securityholders”), with respect to the 10.359% Senior Secured Notes Due September 15, 2011, Series A issued by Foster Wheeler LLC (“FWLLC”) and guaranteed by the Company (the “Senior Notes”) owned by the Securityholders.
