THIS STOCKHOLDERS AGREEMENT (this “Agreement”) is made as of the 16th day of June, 2006, by and among HRDQ GROUP, INC., a Delaware corporation (the ”Corporation”), TELECOM COMMUNICATIONS, INC., a Delaware corporation (including any successor in interest thereto, ”Telecom”), CHINA DONGGUAN NETWORKS, INC, a BVI corporation (“CDN”) and TOP RIDER GROUP,LTD., a BVI corporation (“TRG”). Telecom, CDN and TRG, together with any subsequent holders of Common Stock (as defined below) or Series A Preferred Stock (as defined below) that become parties to this Agreement, are collectively referred to herein as the “Stockholders.” The addresses of the Corporation and current Stockholders are listed on Exhibit A hereto.
