This Share Exchange Agreement, dated as of September 8, 2006, is made by and among Advanced Medical Institute Inc., a Nevada corporation (the “Acquiror Company”), Worldwide PE Patent Holdco Pty Limited (ACN 117 157 727), a company formed in Australia (the “Company”) and each of the Persons listed on Exhibit A hereto (collectively, the “Shareholders”, and individually a “Shareholder”).
