AMENDMENT NO. 1, dated as of October , 2006 (the “Amendment”), to the Amended and Restated Deposit Agreement dated as of March 21, 2005 (the "Deposit Agreement"), among MILLEA HOLDINGS, INC., a joint stock corporation organized under the laws of Japan, and its successors (the "Company"), JPMORGAN CHASE BANK, N.A., as depositary (the "Depositary"), and all Holders and Beneficial Owners from time to time of American Depositary Receipts issued thereunder ("ADRs") evidencing American Depositary Shares ("ADSs") representing deposited Shares.
