This Stock Purchase Agreement (this "Agreement") is entered into as of September 24, 2004, by and among Market Central, Inc., a Delaware corporation ("Buyer"), and Ariel Way, Inc., a Delaware corporation ("Seller"). Buyer and Seller may be referred to individually herein as a "Party" and, collectively, as the "Parties."
