This Share Exchange Agreement (the “Agreement”) dated as of November 28, 2006, is entered into by and among China 3C Group, a Nevada corporation (“CHCG”), Capital Future Developments Limited a BVI corporation (“CFDL”), Shanghai Joy & Harmony Electronics Company Limited, a Shanghai corporation in China (“Shanghai”), and the shareholders of Shanghai listed on Schedule 1 to this Agreement (each, a “Shareholder” and, collectively, the “Shareholders”).
