AMENDMENT NO. 1, dated as of December 21, 2006 (the “Amendment”), to the Amended and Restated Deposit Agreement (the "Deposit Agreement") dated as of December 3, 2004 among SAP AG, a stock corporation organized under the laws of the Federal Republic of Germany (herein called the Company), DEUTSCHE BANK TRUST COMPANY AMERICAS, a New York corporation (herein called the Depositary), and all Owners and Holders from time to time of American Depositary Receipts issued thereunder.
