This Amended and Restated Consulting Agreement (this “Agreement”) is made on January 18, 2007, by and between Fujian Zhongde Technology Co., Ltd., a People’s Republic of China corporation (“Client”), and Allstar Capital, Inc., a Maryland corporation (“Consultant”). In consideration of the respective covenants, representations, warranties and agreements contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which the parties hereby acknowledge, the parties agree as follows:
