THIS COMMON STOCK PURCHASE WARRANT CERTIFIES that, for value received, BILL GLASER (the “Holder”), is entitled, upon the terms and subject to the limitations on vesting and exercise and the conditions hereinafter set forth, at any time after the date hereof (the “Initial Exercise Date”) and until five (5) years from such date (the “Termination Date”), but not thereafter, to subscribe for and purchase from UKARMA CORPORATION, a Nevada corporation (the “Company”), 200,000 shares (the “Warrant Shares”) of Common Stock, par value $.001 per share, of the Company (the “Common Stock”). The purchase price of one share of Common Stock under this Warrant shall be TWENTY FIVE CENTS ($0.25) (the “Exercise Price”) subject to adjustment hereunder. The Exercise Price and the number of Warrant Shares for which the Warrant is exercisable shall be subject to adjustment as provided herein.

The pricing of the business plan (exclusive of the financial section) is based on estimated hours (including both primary and secondary research, interviews and writing) at a consulting rate of $150/hour. The financial section is based on a rate of $250/hour.
