This First Amendment (“this Amendment”) is dated as of March 6, 2007, among SpatiaLight, Inc., a New York corporation (the “Company”), and each persons identified on the signature pages hereto (each, including its successors and assigns, a “Purchaser” and collectively the “Purchasers”).
