This Indemnification Agreement (this “Agreement”) is made as of the 7th day of March, 2007 by and between MOD-PAC CORP., a New York corporation (the “Corporation”) and PHILIP C. RECHIN (“Indemnitee”), a director, officer or key employee of the Corporation.

THIS AGREEMENT (as the same may be amended, restated or otherwise modified, the “Agreement”) is made this 8th day of March, 2007, between MOD-PAC CORP., a New York corporation with offices at 1801 Elmwood Avenue, Buffalo, New York 14207 (“Borrower”) and KEYBANK NATIONAL ASSOCIATION, a national banking association, with offices at 50 Fountain Plaza, Buffalo, New York 14202, and its successors and assigns (“Lender”).
