This AGREEMENT AND PLAN OF MERGER (this “Agreement”) has been made as of April 18, 2007, by and among LGSE, a Nevada corporation (“LGSE”), LGSE Merger Sub, Inc., a Nevada corporation and a wholly-owned Subsidiary of LGSE (“Sub”), China Lipu Paper Limited, a British Virgin Islands corporation (“CLP”), and the shareholders of CLP, each of whom is identified on Schedule A to this Agreement (the “CLP Shareholders”).
