This NOTE PURCHASE AGREEMENT (the “Agreement”), dated this 16th day of May, 2007 with an effective date of May 1, 2007, is made by and among MEDICAL MEDIA TELEVISION, INC., a Florida corporation (the “Company”), PETCARE TELEVISION NETWORK, INC., a Florida corporation (“PetCARE”), KIDCARE MEDICAL TELEVISION NETWORK, INC., a Florida corporation (“KidCARE”), AFRICAN AMERICAN MEDICAL NETWORK, INC., a Florida corporation (“African American Medical” and together with PetCARE and KidCARE each a “Subsidiary” and collectively, the “Subsidiaries”), and VICIS CAPITAL MASTER FUND (the “Purchaser”), a trust formed under the laws of the Cayman Islands.
