This SHARE EXCHANGE AGREEMENT (the “Agreement”), dated as of May 31, 2007, is by and among OJSE SMOLENENERGY, a corporation formed under the laws of the Russian Federation (the “Company”) and RUSSOIL CORPORATION, a Nevada corporation (“Russoil”), filing reports pursuant to the Securities Exchange Act of 1934, as amended (the “Exchange Act”) and the stockholders of the Company signatory hereto and set forth on Schedule 1 annexed hereto (the “Stockholders”). Each of the parties to this Agreement is individually referred to herein as a “Party” and collectively, as the “Parties.”
