This PURCHASE AGREEMENT (this “Agreement”) is dated as of 12:01 a.m. on June 1, 2007 (the “Closing Date”), by and among NovaMed Acquisition Company, Inc., a Delaware corporation (“NovaMed”), and Cataract and Laser Center Partners, L.L.C., d/b/a Ambulatory Surgery Centers of America, a Delaware limited liability company (“ASCOA”), Scott Becker (“Becker”), Douglas J.
