THIS SECURITY HOLDERS AGREEMENT (“Agreement”), dated as of ____ ____, and among ACCBT Corp., a corporation duly incorporated under the laws of the British Virgin Islands (“ACCBT”), and the persons listed in Exhibit A (“Holders”). This agreement may be executed in one or more counterparts, each of which will be deemed an original, but all of which together shall constitute one and the same instrument.
