THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made as of this 16th day of July, 2007 by Coda Octopus Group, Inc., a Delaware corporation (Coda Octopus Group, Inc. and its subsidiaries hereinafter referred to as “Coda Octopus” or “the Company”), with its principal place of business at 164 West 25th Street, 6th Floor, New York, New York 10001 and Mr. Jody Frank, residing at 232 Sagamore Road, Millburn, NJ 07041 (the “Executive”) (collectively the "Parties").
