AMENDMENT NO. 2, dated as of July 30, 2007 (the “Amendment”), to the Amended and Restated Deposit Agreement dated as of March 21, 2005 as amended as of October 6, 2006 (as so amended, the "Deposit Agreement"), among MILLEA HOLDINGS, INC., a joint stock corporation organized under the laws of Japan, and its successors (the "Company"), JPMORGAN CHASE BANK, N.A., as depositary (the "Depositary"), and all Holders and Beneficial Owners from time to time of American Depositary Receipts issued thereunder ("ADRs") evidencing American Depositary Shares ("ADSs") representing deposited Shares.
