This ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of August 6, 2007 (the “Agreement Date”), is by and between TIX CORPORATION, a Delaware corporation (“Buyer”), on the one hand, and EXHIBIT MERCHANDISING LLC, an Ohio limited liability company (“Seller”), and MAGIC ARTS & ENTERTAINMENT-FLORIDA, INC., a Florida corporation, and JOHN T.
