THIS SHARE EXCHANGE AGREEMENT (the “Agreement”), made and entered into this 13th day of August 2007 by and among Organetix, Inc., a Delaware corporation ("OGTX”), Kidfitness Inc., a New York Corporation (“Kid Fitness”), and those stockholders of Kid Fitness listed on Schedule A hereto (“Exchanging Stockholders”).
